Terms of Service

These Terms of Service ("Terms") govern access to and use of the Salesreach app (the "Service"), operated by Revotech OÜ (registry code 17332344, Estonia) ("Salesreach", "we", "us"). By installing or using Salesreach on your Shopify store, you ("Merchant", "you") agree to these Terms.

1. The Service

Salesreach is an AI sales agent that messages your Shopify customers over SMS and WhatsApp — following up after a purchase with cross-sell suggestions, sending one reminder when a customer leaves a checkout unfinished, and offering single-use discount codes within limits you configure. It only messages customers who opted in to SMS marketing at your checkout.

2. Eligibility

You must have a valid Shopify store and the authority to bind that store to these Terms. You are responsible for keeping your Shopify account credentials secure.

3. Fees and billing

Salesreach charges a commission of 25% of the extra revenue we generate for your store, measured on product value: the price paid for the items after discounts, excluding shipping and taxes. For an order placed through a checkout link or discount code our AI agent sent, the commission is on the whole order. For an order placed without them that contains the exact cart the agent sent that same Customer within the previous 7 days, the commission is only on the items the agent pitched (their share of the order’s product value). A checkout the agent reminded a Customer about counts as a cart the agent sent: if it is completed within 7 days of the reminder, the commission is on the items in that checkout. The agent’s checkout links add a salesreach_conversation note to the order, so you can see in Shopify which conversation produced it.
You owe nothing if we haven't generated any such orders. There is no flat subscription fee.
Commission is billed as usage charges through Shopify's Billing API and collected as part of your normal Shopify invoice — no separate payment method is required. You must approve a billing subscription through Shopify before charges can be collected.
Your subscription has a monthly usage cap, which starts lower for new stores and increases automatically once your account has a track record of being billed reliably. If you're approaching your cap, we'll prompt you in-app to approve a higher one.
The AI agent only responds to Customers while your Shopify billing subscription is active. If you haven't approved billing yet, or Shopify is unable to collect a scheduled charge (for example a declined card), the agent pauses until billing is approved or brought current — any message a Customer sends during a pause is queued and answered as soon as billing is active again, not lost. The same applies while you have switched the agent off in the app.
Commission is charged when an attributed order is paid. If that order is later cancelled or refunded, the commission already charged is not credited back automatically; email support@salesreach.net with the order number and we will review a credit.

4. Your responsibilities

You are responsible for having a lawful basis and any required consent to message your Customers by SMS/WhatsApp under applicable law (e.g. TCPA, GDPR, and equivalent regimes), and for the accuracy of the store information you provide us.
You control the discount policy (maximum discount, minimum cart value, first-purchase coupon terms) the agent operates within; Salesreach will not exceed the limits you set.
You must not use the Service for any unlawful purpose or in a way that violates Shopify's own Acceptable Use Policy or Merchant terms.

5. AI-generated content

Messages, personas, and discount offers are generated automatically by AI models based on your configuration. While we design and test these to be accurate and on-brand, we do not guarantee every generated message will be error-free, and you should review your persona/discount configuration before going live.

6. Data and privacy

Our collection and use of data in connection with the Service is described in our Privacy Policy, and our data-processing terms as a processor for your Customers' data are set out in our Data Processing Agreement — both are incorporated into these Terms by reference. 7. Intellectual property

Salesreach retains all rights in the Service, including its software, persona catalog, and generated conversational scripts. You retain all rights in your own store data and content.

8. Term and termination

These Terms apply for as long as Salesreach is installed on your store. You may uninstall the app at any time from your Shopify admin. We may suspend or terminate the Service for a store that breaches these Terms or has an outstanding balance beyond the pause threshold described in Section 3. Data handling after uninstall is described in the Privacy Policy.

9. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Revotech OÜ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue or profits, arising from your use of the Service. Our total liability for any claim arising from the Service will not exceed the commission fees you paid us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold Revotech OÜ harmless from any claim arising from your breach of these Terms, your violation of applicable law (including messaging-consent law), or content you configured the agent to send.

12. Governing law

These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Estonia.

13. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
